Tripolo Terms of Service
10/9/26
Effective Date:
9/28/26
Published Date:
Welcome to Tripolo.
These Terms of Service (the “Terms”) are a legally binding agreement governing your use of Tripolo as a Traveler. They cover Tripolo’s websites, mobile applications and related services — together, the “Tripolo Platform”.
Which company you are contracting with. Travelers contract with Tripolo, Inc., a Delaware corporation — “Tripolo,” “we,” “us” or “our” in these Terms. Guides contract with a separate and unaffiliated company, 趣菠萝科技(深圳)有限公司, under its own terms. Section 1.5 explains how the two companies work together and what that means for you; Schedule 1 gives both companies’ details.
Accepting these Terms. By creating an account or otherwise using the Tripolo Platform, you confirm that you have read and understood these Terms — including the arbitration agreement and class action waiver described immediately below — and agree to be bound by them. If you do not agree, do not use the Tripolo Platform.
ARBITRATION NOTICE AND CLASS ACTION WAIVER — PLEASE READ. Section 26 requires you and Tripolo to resolve most disputes by binding individual arbitration rather than in court, and waives your right to a jury trial and your right to participate in a class action or any other representative proceeding. Section 26.6 lists the claims that are not arbitrated, including claims you keep in small claims court and, at your election, a claim alleging sexual assault or sexual harassment. You may opt out of arbitration by sending notice within 30 days of first accepting these Terms, as set out in Section 26.14. Opting out does not affect any other part of these Terms. If your place of habitual residence is in a region in which the laws of the People’s Republic of China are applied, Section 27 applies to you instead of Section 26.
Note on numbering. These Terms share a single numbering scheme with the Tripolo Guide Terms (趣菠萝服务条款): Traveler-specific provisions appear in these Terms, Guide-specific provisions appear in the Tripolo Guide Terms, and provisions that apply to both carry the same number in each document. Section numbers in these Terms are therefore not consecutive (for example, Section 5 is followed by Sections 5A and 5B, and then by Section 15), and Part B (Guide Terms) appears only in the Tripolo Guide Terms. Gaps in numbering and in part lettering do not affect the effect of any provision.
1. The Tripolo Platform
1.1 What Tripolo Provides
Tripolo operates an online marketplace that enables registered users (“Members”) to:
- publish and offer in-person travel-related services (Members offering services are “Guides”), and
- search for, request, book, and participate in those services (Members booking services are “Travelers”)
Guides may offer private tours, cultural experiences, local excursions, translation or interpretation support, and other travel-related services (collectively, “Guide Services”). Each Guide Service is presented on a page the Guide writes and maintains (a “Service Page”).
1.2 Scope and Limits of Tripolo’s Role; No Agency
(a) Scope of Tripolo’s role. Tripolo provides and operates the Tripolo Platform, being the technology by which a Guide may publish and maintain a Service Page and a Traveler may search for Service Pages, communicate with a Guide, and submit and confirm a booking. In addition, and in each case only to the extent required by applicable law or by these Terms, Tripolo (i) requires Guides to hold the licences and registrations required for the Guide Services they offer and to submit evidence of them, and carries out such checks of that evidence as Tripolo considers appropriate, subject to Section 23A; (ii) maintains records of transactions concluded through the Tripolo Platform; and (iii) administers the review system in accordance with the Review Rules. Tripolo’s role is limited to the foregoing.
(b) The Guide Service is supplied by the Guide. Each Guide determines the Guide Services it offers, prepares and maintains its own Service Page, decides which booking requests to accept, and performs the Guide Service in its own name and on its own account. Tripolo does not design or assemble itineraries; does not offer, assemble or sell travel packages; does not provide or arrange carriage, accommodation, meals or admission tickets; and does not underwrite or arrange insurance. Tripolo holds no licence as a travel agency, tour operator or carrier, and does not carry on any of those activities.
(c) No agency; Tripolo is not a party to the Reservation. Your contract for the Guide Service is formed with the Guide and not with Tripolo, and Tripolo is not a party to it. Save as expressly provided in these Terms — namely the limited authority conferred under Section 1.5 for the sole purpose of forming a Reservation, and Tripolo, Inc.’s role as merchant of record under Section 18 — Tripolo does not act as agent, broker or representative of any Member, and has no authority to bind any Member.
1.2A Tripolo Policies
(a) Incorporation. These Terms incorporate the policies published at https://tripolo.com/legal/platformrules and identified there as Tripolo Policies (each a “Tripolo Policy” and together the “Tripolo Policies”). As at the Effective Date the Tripolo Policies are:
- Cancellation Policy — refund tiers, cut-off times, and the consequences of cancellation
- Guide Service Disruption Policy — events beyond either party’s control that prevent a Guide Service from proceeding
- Order Issue Rules — what constitutes an Order Issue, how claims are made and determined, and how to appeal
- Review Rules — who may submit a review, content standards, and when a review may be removed
- Safety and Conduct Standards — conduct required of Travelers and Guides, requirements concerning minors, emergencies and incident reporting, and the consequences of breach
- Guide Privacy Standards — a Guide’s obligations when handling Traveler personal information
(b) Effect. Each Tripolo Policy forms an integral part of these Terms and has the same effect as these Terms. The same policies apply to Guides under the Tripolo Guide Terms, with the result that both parties to a Reservation are bound by one common set of rules.
(c) Order of precedence. Where these Terms expressly provide that a matter is governed by, or determined in accordance with, a Tripolo Policy, that Policy governs that matter. In any other case of inconsistency between these Terms and a Tripolo Policy, these Terms prevail, and no Tripolo Policy operates to vary these Terms.
(d) Amendment and addition. Tripolo may amend a Tripolo Policy, or designate an additional policy as a Tripolo Policy, in accordance with Section 29.1, which distinguishes material modifications from other modifications. Designating an additional policy as a Tripolo Policy is always treated as material. For any policy that also applies to Guides, the proposed text is additionally published at the above address for not less than seven (7) days before it takes effect. A material amendment, or an additional policy, that has not been published and notified in accordance with Section 29.1 does not form part of these Terms.
(e) Version applicable to a Reservation. The version of each Tripolo Policy in effect at the time a Reservation is confirmed governs that Reservation. Prior versions are retained for not less than three (3) years and are available on request.
1.3 Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to create an account or use the Tripolo Platform. The Tripolo Platform is not directed to, and may not be used by, individuals under 18.
Minors may participate in a Guide Service only when included in a Reservation made by a responsible adult who accompanies them for the duration of the Guide Service, and only where the Service Page permits minors. The booking adult is responsible for the conduct and supervision of any minor in their party.
If Tripolo becomes aware that an account belongs to a person under 18, Tripolo will terminate the account and delete associated personal information in accordance with the Privacy Policy.
1.4 Account Registration and Security
You must provide accurate, current, and complete information when registering and keep it updated. You may hold only one account unless Tripolo expressly permits otherwise.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify Tripolo immediately at support@tripolo.com of any unauthorized access or suspected compromise. Tripolo may require identity verification at any time as a condition of continued access, and may suspend access pending verification.
1.5 Your Tripolo Contracting Entity and Formation of the Reservation
The Tripolo entity you contract with depends on your role: Travelers contract with Tripolo, Inc. (United States); Guides contract with 趣菠萝科技(深圳)有限公司 (People’s Republic of China).
The other Contracting Entity. 趣菠萝科技(深圳)有限公司 is the contracting entity for Guides under the Tripolo Guide Terms and is not a party to these Terms. For the avoidance of doubt, “Tripolo” in these Terms means Tripolo, Inc.; Tripolo, Inc. and 趣菠萝科技(深圳)有限公司 are together the “Contracting Entities”. In these Terms, “Tripolo Parties” means the Contracting Entities and their respective officers, directors, employees, agents and licensors.
The rights, disclaimers, and limitations of liability conferred on Tripolo by Sections 5.3, 5A, 5B, 20, 20A, 23, 23A, 24, 24A, 25 and 26 extend equally to 趣菠萝科技(深圳)有限公司, which is an intended third-party beneficiary of those Sections and may enforce them directly against you. Where 趣菠萝科技(深圳)有限公司 asserts a claim under this paragraph, you may raise against it any defence you have against Tripolo. The liabilities that Section 24 states cannot be excluded or limited remain unaffected by this paragraph.
The limitation of liability in Section 24 is a single aggregate cap across both Contracting Entities and is not increased by this paragraph.
Any claim brought by 趣菠萝科技(深圳)有限公司 under this paragraph is governed by the applicable law and dispute-resolution provisions of Sections 26 to 28 of these Terms. Claims you bring against 趣菠萝科技(深圳)有限公司 are addressed in Section 26.15.
The Contracting Entities are under no common ownership, are not parent, subsidiary, or affiliate of one another, operate independently, are each independently responsible for their own contractual obligations to their own Members, and are not responsible for the acts or omissions of the other.
Formation of the Reservation. Each Tripolo entity is authorised by its Members to transmit and accept booking offers on their behalf for the limited purpose of forming a Reservation. When a Traveler submits a booking request and a Guide confirms it, a Reservation is formed directly between that Traveler and that Guide, regardless of which Tripolo entity transmitted the request or confirmation. Neither Contracting Entity is a party to the Reservation.
PART A — Traveler Terms
2. Finding a Guide and Booking
2.1 Search Results and Ranking
You may browse Service Pages and use search tools and filters such as destination and travel dates.
Search results and Service Page visibility may be influenced by factors including relevance to your search, availability, pricing, language compatibility, reviews, responsiveness, reliability, cancellation history, past bookings, and other operational or quality-related signals determined by Tripolo. Tripolo does not guarantee that any Service Page will appear in search results or be available at any given time.
2.2 Booking and Pricing
(a) Total Price. The price displayed for a Service Page is the total price payable for that Guide Service (the “Total Price”). The Total Price is inclusive of Tripolo’s service fee and of any taxes applicable to the Guide Service. No mandatory fee, service charge or tax is added at checkout: the amount you are asked to authorise is the amount displayed. Optional items you choose to add, if any, are shown and priced separately before you confirm. After a Reservation is confirmed, an amount becomes payable only as expressly provided in these Terms — a change to the Reservation that Tripolo has given effect to under Section 4.2, a tip you choose to leave (Section 16.4), or an amount you owe under Section 16.2 or Section 16.6.
(b) When the Total Price is fixed. The Total Price for a Guide Service is the price displayed for that Service Page at the moment you submit your booking request. That price is the price you pay, and it is not affected by any later change to the price of that Service Page, whether before or after the Guide confirms.
Before you submit a booking request, the price displayed for a Service Page may be updated, including after you have added it to a trip. Any updated price is displayed to you before you submit your booking request, and you are never charged a price you have not been shown. A price displayed for a Service Page is not an offer and does not bind Tripolo or the Guide until a booking request is submitted at that price.
(c) Authorisation and charging. When you submit a booking request, Tripolo, Inc. obtains an authorisation on your selected payment method for the Total Price, and captures payment on or after confirmation of the Reservation by the Guide. If the Guide does not confirm, or the request lapses, the authorisation is released; the time your bank or card issuer takes to release the held amount is determined by that institution and is outside Tripolo’s control.
(d) Currency. Prices are displayed and charged in US dollars. The Total Price is not affected by any change in exchange rates after your booking request is submitted. Your bank or card issuer may charge you separately for foreign transactions or currency conversion; those charges are set by that institution and are outside Tripolo’s control.
(e) Your obligation to pay. On confirmation of a Reservation by the Guide, you are obliged to pay the Total Price, subject to the Cancellation Policy and the other Tripolo Policies.
2.3 Contract with the Guide
Once your booking is confirmed, a binding contract for the Guide Service (a “Reservation”) is formed directly between you and the Guide.
The Reservation includes:
- these Terms,
- the service type, duration and location stated on the Service Page,
- the preferences you submitted and the itinerary you and the Guide confirmed through the Tripolo Platform (the “Agreed Itinerary”),
- the cancellation policy shown at booking,
- any rules, requirements, or disclosures provided in the Service Page or during checkout, and
- applicable Tripolo policies referenced in these Terms.
The itinerary shown on a Service Page is illustrative. It shows the type and style of service the Guide offers and is not a promise of particular items. What the Guide is obliged to deliver is the Agreed Itinerary, together with the service type, duration and location stated on the Service Page. Section 1.0A of the Order Issue Rules governs how a difference between what was delivered and the Agreed Itinerary is assessed.
It is your responsibility to review and understand all Reservation terms before booking.
2.4 Scope of a Reservation; Items Not Included
(a) Single service. A Reservation is for one standalone Guide Service, comprising the Guide’s time and personal services of the type, duration and location stated on the Service Page, delivered according to the Agreed Itinerary. A Reservation does not constitute, and is not offered or sold as, a package tour or a pre-arranged itinerary. Where the Service Page does not state a daily duration, it is 8 hours per day, running from the time you and the Guide actually meet and including reasonable meal and rest breaks (see Section 1.0 of the Order Issue Rules).
(b) Items not included. Unless the Service Page expressly provides otherwise, the price of a Guide Service does not include, and Tripolo neither arranges, books, resells nor pays for: transport of any kind (including airport transfers, chauffeured vehicles and journeys taken during the Guide Service); accommodation; food and beverages; admission or entry tickets; equipment hire; and travel insurance.
(c) Third-party arrangements. You are responsible for arranging and paying for the items listed in paragraph (b) directly with the relevant supplier. A Guide may identify options or assist you in communicating with a supplier; doing so does not make the Guide or Tripolo a party to, or responsible for, any contract between you and that supplier. Guides are prohibited from transporting Travelers for a fee and from combining third-party services with a Guide Service in a single quoted price.
(d) Status of Tripolo. Tripolo is not a travel agency or tour operator, and does not organise, assemble or sell pre-arranged itineraries or travel packages.
3. Participation in Guide Services
Booking a Guide Service entitles only the Travelers included in the Reservation to participate.
You are responsible for ensuring that you and your party meet all requirements specified by the Guide, including age limits, physical ability, language proficiency, equipment needs, or other conditions. You must tell the Guide about any requirements or limitations that could reasonably affect safe participation — for example, whether the pace, distance or duration needs to be adjusted, whether an accessible route is needed, whether a particular activity should be avoided, or what food arrangements are required. Such information should be confined to the practical accommodation required. You must not submit diagnoses, medical records, medication details or other health information through the Tripolo Platform. Tripolo does not request such information and does not require it in order to provide the Tripolo Platform; any health information you nevertheless submit is provided at your own initiative.
Unless expressly authorized by the Guide and reflected in the Reservation, you may not substitute participants or allow additional individuals to participate.
4. Cancellations, Reservation Issues, and Modifications
4.1 Cancellations and Refunds
If you cancel a Reservation, the amount refunded to you is determined by the cancellation policy applicable to that Reservation, except where another Tripolo policy applies (such as a Guide Service Disruption Policy or an experience protection policy, where applicable).
If a Guide cancels, fails to show up, or a qualifying Reservation issue occurs, Tripolo may, at its discretion and in accordance with applicable policies, provide assistance such as rebooking support, credits, or refunds.
Tripolo’s determinations regarding refunds, credits, or rebooking assistance are final for purposes of Platform administration and the disbursement of funds held by Tripolo, and Tripolo will implement them accordingly. Such determinations do not limit any right you may have to pursue a claim under Section 26 or Section 28, or any right you may have under mandatory consumer protection law. Tripolo will provide a written explanation of any determination on request, and will reconsider a determination if you submit additional information within thirty (30) days.
4.2 Changing a Confirmed Booking
The Tripolo Platform does not currently support changing a confirmed Reservation. To change the dates, scope, duration or group size, you must cancel the Reservation and book again. Cancelling is subject to the Cancellation Policy, and the new booking is made at the price displayed when you submit the new booking request.
If you and a Guide agree on a change, either of you may raise it with Tripolo support. Whether Tripolo gives effect to such a change is at Tripolo’s discretion and is not an obligation, and Tripolo may decline to do so. Where a change is given effect, you agree to pay any resulting price difference, fees, or taxes. Section 3.3 of the Cancellation Policy applies to any change.
5. Traveler Responsibilities and Risk Acknowledgement
5.1 Your Responsibilities
You are responsible for your own conduct and the conduct of anyone included in your Reservation. This includes following reasonable instructions from the Guide, complying with applicable laws and local customs, and treating Guides and others with respect.
If you book a Guide Service on behalf of others, you represent that you have authority to do so and that all participants agree to these Terms.
5.2 Abusive or Excessive Cancellations
To protect Guides and the integrity of the Tripolo Platform, Tripolo may monitor cancellation activity.
If your account shows patterns of excessive, repeated, or abusive cancellations, including cancellations that appear intended to misuse the Platform, disrupt Guides, or circumvent policies, Tripolo may take corrective action. Such action may include warnings, temporary limitations, suspension, or termination of your account, and restrictions on future bookings, at Tripolo’s discretion and in accordance with applicable law.
5.3 Assumption of Risk
Participation in Guide Services may involve inherent risks, including physical exertion, transportation, weather conditions, outdoor environments, unfamiliar locations, unforeseen events, and the acts or omissions of your Guide, of others in your party, and of other people encountered during the Guide Service.
By booking and participating in a Guide Service, you voluntarily assume all such risks and agree that you are responsible for determining whether a Guide Service is appropriate for you and your party. You acknowledge that Tripolo is not present at, and does not supervise or control, any Guide Service.
You are solely responsible for your own travel documents and eligibility to travel, including passports, visas and visa-free transit conditions, entry and exit requirements, health and vaccination requirements, and compliance with local law. Tripolo does not verify these, and no Tripolo Party is responsible for any consequence of your failure to meet them, including a Guide Service you are unable to attend. Any information Tripolo provides about entry or transit rules is general information only, may change without notice, and is not advice.
Tripolo strongly recommends that Travelers obtain appropriate travel insurance covering medical care, accidents, cancellations, and unexpected disruptions.
PART C — Payments, Legal Terms, and Dispute Resolution
5A. Insurance
Tripolo does not provide insurance of any kind to Travelers or Guides. Any protection program Tripolo may offer is not insurance, is subject to its own terms and limits, and does not replace insurance.
Travelers are strongly encouraged to obtain comprehensive travel insurance covering medical treatment, emergency evacuation, accidents, trip cancellation, and personal property. Tripolo does not arrange, sell, or act as agent for any insurer, and no Reservation includes insurance cover provided by Tripolo.
Guides are independent providers of the Guide Services. Where liability insurance is required by law or by the professional rules that apply to a Guide, the Tripolo Guide Terms require that Guide to obtain and maintain it. Tripolo does not verify, and makes no representation, that any particular Guide holds insurance, unless Tripolo states otherwise for a specific service category. Any insurance a Guide does hold is held by the Guide; its scope and limits are governed by the policy itself, and Tripolo makes no representation that it is adequate for any particular Traveler or Guide Service. You are strongly encouraged to obtain your own travel insurance.
5B. Force Majeure and Service Disruption Events
No Tripolo Party is liable for any delay or failure to perform arising from causes beyond its reasonable control, including natural disasters, extreme weather, epidemics or pandemics and related public health measures, war, terrorism, civil unrest, labor disputes, government action, changes to visa or entry requirements, border or airspace closures, transportation disruptions, utility or telecommunications failures, or failures of third-party service providers including payment processors.
Where a Service Disruption Event prevents a Guide Service from proceeding, Tripolo may apply its Guide Service Disruption Policy, which may provide for cancellation without penalty to either party, refunds, credits, or rebooking assistance. Nothing in this Section limits your rights under mandatory consumer protection law.
15. Payment Services Overview
Tripolo facilitates payments between Travelers and Guides for Guide Services offered through the Tripolo Platform. These payment services may include:
- collecting payments from Travelers,
- disbursing payouts to Guides,
- processing refunds, credits, and chargebacks, and
- handling applicable fees and taxes.
Tripolo uses third-party payment service providers and may require identity verification or additional information to comply with legal, regulatory, or risk-management obligations.
16. Traveler Payment Terms
16.1 Payment Authorization
By submitting a booking request, you authorize Tripolo to obtain an authorisation on, and to charge, your selected payment method for the Total Price, as determined under Section 2.2. No further mandatory amount is added at checkout.
You authorize Tripolo to charge additional amounts permitted under these Terms, such as changes to a Reservation that you have agreed, refund reversals, chargebacks, penalties, or other amounts owed.
16.2 Failed Payments
If a charge fails or is reversed, you remain responsible for the amount owed. Tripolo may retry charges, use other payment methods on file, or pursue lawful collection actions.
16.3 Refunds
Refunds, where applicable, will be initiated by Tripolo in accordance with the applicable cancellation policy or Tripolo policy. Refund timing depends on the payment method and financial network rules. A refund is calculated on the amount originally charged and is returned in the currency of that charge; it is not recalculated at a later exchange rate.
16.4 Tips
After a Guide Service has been completed, you may choose to add a tip for your Guide. Tips are entirely voluntary. You are never required to leave one, no amount is pre-selected on your behalf, and declining to tip has no effect on your booking.
A tip may not exceed 100% of the total amount you paid for the Reservation.
Tripolo takes no commission or fee on tips — the full amount goes to the Guide, less any tax that Tripolo or its settlement provider is required by law to withhold.
A tip is charged as a separate transaction to your payment method and is shown separately from the price of the Reservation. A tip is not part of the Total Price.
If the Reservation is refunded in full, any tip collected is refunded with it. Tips are not subject to the retention percentages in the Cancellation Policy.
A tip, once given, is final. It is not refundable except where the Reservation is refunded in full, and except for any right you have under applicable law or the rules of your card network.
Guides are prohibited from asking you for a tip or suggesting one. If a Guide does, please report it to support@tripolo.com.
16.5 Tripolo Credit
“Tripolo Credit” is a balance held in your Tripolo account that may be applied towards the price of a Reservation. Tripolo Credit may arise from a refund, from compensation under a Tripolo Policy, or from a promotion.
Tripolo Credit may only be used to book Guide Services on the Tripolo Platform. It cannot be withdrawn, transferred to another person, or exchanged for cash, and it has no monetary value outside the Tripolo Platform.
Tripolo Credit currently has no expiry date. If Tripolo introduces an expiry period in future, this will be stated when the credit is issued and notified in advance under Section 29.1. Tripolo may deduct or reverse Tripolo Credit issued in error, obtained through fraud, or arising from a reversed transaction.
Where a Reservation is paid for with a mix of card payment and Tripolo Credit, refunds are calculated separately for each portion as set out in the Cancellation Policy.
16.6 Payment Disputes and Chargebacks
(a) Claims to be submitted to Tripolo first. Before initiating a chargeback or other payment dispute with your bank or card issuer in respect of a charge you recognise, you agree to submit your claim to Tripolo at support@tripolo.com and to allow Tripolo a reasonable opportunity to resolve it. Tripolo will notify you of its determination in writing, stating its reasons.
(b) Deadlines unaffected. An Order Issue must be raised within the period specified in Section 2.2 of the Order Issue Rules, and cancellations are governed by the cut-off times in the Cancellation Policy. Raising a matter with your card issuer does not extend those periods, nor confer any right to a refund that the applicable Tripolo Policy does not provide.
(c) Manner of raising a claim. A claim is validly raised within the applicable period by message to support@tripolo.com or through any support channel within the Tripolo Platform; completion of a claim form is not a condition of raising a claim in time. Section 2.3 of the Order Issue Rules provides for acceptance of a late claim where timely submission was not feasible.
(d) Co-operation. Where you initiate a chargeback, you agree to co-operate with Tripolo’s response and to provide such information as Tripolo reasonably requests.
(e) Recovery. Where a chargeback is resolved in Tripolo’s favour, or where you receive both a refund from Tripolo and a chargeback in respect of the same charge, that amount, together with any dispute fee levied by the payment network, constitutes an amount owed by you under Section 16.2. Tripolo may recover it by charging a payment method on file or by applying it against any Tripolo Credit.
(f) Misuse of the dispute process. Tripolo may suspend or terminate the account of, and decline future bookings from, any Traveler whose chargeback activity indicates misuse of the payment dispute process, including repeated disputes in respect of services that were received, or disputes raised without first contacting Tripolo.
(g) Statutory rights preserved. Nothing in this Section limits any right you have under applicable law or the rules of your card network to dispute a charge you did not authorise.
18. Payments and Merchant of Record
Tripolo, Inc. is the merchant of record for all Traveler payments made through the Tripolo Platform. Your payment appears on your card or account statement as Tripolo, Inc., and Tripolo, Inc. is responsible for processing your payment, issuing refunds, and handling any payment dispute or chargeback.
Your payment to Tripolo, Inc. discharges your payment obligation to the Guide in full, in the same manner as payment made directly to the Guide, regardless of whether the Guide has yet received settlement. You are never asked to pay the Guide twice for the same Reservation.
Guides are paid by 趣菠萝科技(深圳)有限公司 under the Tripolo Guide Terms. Arrangements between the Contracting Entities do not affect your rights under these Terms.
Funds held pending payout are not held in trust, earn no interest for any Member’s benefit, and do not make either Contracting Entity a bank, trustee, fiduciary, or escrow agent.
19. Prohibited Payment Activities and Compliance
You may not use the Tripolo Platform or payment services for unlawful, fraudulent, or unauthorized purposes.
Tripolo may suspend or restrict payment features or accounts where activity presents unacceptable risk or violates these Terms, applicable law, or payment-provider requirements.
Tripolo complies with applicable sanctions, anti-money laundering, and financial compliance obligations.
20. Reviews and User Content
Travelers may submit reviews after completing a Guide Service. Reviews must be accurate, respectful, and lawful. Tripolo may remove or restrict content that violates its policies. Tripolo is under no obligation to remove or restrict any content, and removing one item does not imply endorsement of anything it leaves up.
“User Content” means text, photographs, video, audio, reviews, replies, and other material you upload, post, or provide through the Tripolo Platform.
Licence. By submitting User Content, you grant Tripolo a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable licence to use, copy, store, display, distribute, modify, translate, adapt, compile, and create derivative works from that User Content, in any medium, to operate, improve, secure, display, and promote the Tripolo Platform. This licence survives closure of your account and termination of these Terms. Tripolo will handle any personal information in User Content in accordance with the Privacy Policy and applicable law.
You also permit Tripolo to use your name, likeness, and voice as they appear in User Content for those purposes. You may ask Tripolo to stop using your likeness or voice in outbound advertising, and Tripolo will do so within a reasonable period; content already published on the Tripolo Platform is not affected.
Your warranty. You warrant that you hold all rights necessary to grant this licence and that your User Content does not infringe any copyright, trade mark, publicity, privacy, or other right of any third party, and that you have obtained any consent needed where it depicts another person or another person’s work. Claims arising from your User Content are covered by Section 25.
Reviews stay up. Published reviews and replies may remain on the Tripolo Platform after your account is closed, except where removal is required by law or by the Review Rules.
20A. Tripolo Intellectual Property
The Tripolo Platform, including its software, design, text, graphics, interfaces, databases, compilations, and the “Tripolo” and “趣菠萝” names and logos, is owned by Tripolo or its licensors and is protected by intellectual property and other laws.
Subject to your compliance with these Terms, Tripolo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Tripolo Platform for its intended purpose. All rights not expressly granted are reserved.
You may not copy, modify, adapt, translate, create derivative works from, reverse engineer, decompile, or disassemble any part of the Tripolo Platform; remove or obscure proprietary notices; use automated means to access, scrape, index, or extract data from the Platform; or use Platform content to train, fine-tune, or develop any machine learning or artificial intelligence model, except with Tripolo’s prior written consent.
Feedback. If you provide suggestions, ideas, or feedback about the Tripolo Platform, you grant Tripolo a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback without restriction or compensation.
20B. Copyright Complaints
Tripolo responds to notices of alleged infringement consistent with the U.S. Digital Millennium Copyright Act and other applicable law. To report content you believe infringes your copyright, send a written notice to Tripolo’s designated agent at support@tripolo.com including: (a) your physical or electronic signature; (b) identification of the work claimed to be infringed; (c) identification of the material claimed to be infringing and its location on the Tripolo Platform; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.
Tripolo will remove or disable access to material as required and will terminate, in appropriate circumstances, the accounts of repeat infringers. Tripolo will also accept and process counter-notifications as provided by applicable law.
21. Platform Rules and Enforcement
You must not:
- misrepresent identity or services,
- harass or discriminate against others,
- manipulate reviews or search results,
- scrape, hack, or interfere with the Platform,
- bypass Tripolo to avoid fees, or
- misuse personal information.
Tripolo may investigate suspected violations and take enforcement action, including warnings, suspensions, booking cancellations, payout holds, or account termination.
22. Termination and Suspension
These Terms remain effective until terminated by you or Tripolo.
You may terminate by closing your account. Tripolo may suspend or terminate accounts for violations, legal compliance, fraud prevention, safety concerns, or platform integrity.
If your account is terminated, any future or pending bookings may be canceled, and any applicable refunds will be issued in accordance with the cancellation policy and Tripolo’s applicable policies.
23. Disclaimer of Warranties
THE TRIPOLO PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TRIPOLO PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
NO TRIPOLO PARTY GUARANTEES THE QUALITY, SAFETY OR SUITABILITY OF ANY GUIDE, TRAVELER, SERVICE PAGE, OR GUIDE SERVICE, OR THAT THE TRIPOLO PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Tripolo requires Guides to hold and submit evidence of the licences and registrations required for the Guide Services they offer, and carries out checks as described in Section 1.2(a). The nature, scope, method, timing and frequency of any check are determined by Tripolo in its sole discretion and may differ between Members, service categories and locations. Tripolo does not warrant that any Guide in fact holds a valid licence or registration, does not guarantee that a Guide will comply with applicable law in performing a Guide Service, and is limited as set out in Section 23A.
23A. No Screening or Endorsement
Apart from the licence and registration check described in Section 1.2(a), Tripolo does not conduct background checks, criminal record checks, or any verification of a Member’s qualifications, experience, character or suitability. Where Tripolo requests identity documents, licences, or other information, it does so for its own risk management and legal compliance purposes only, and not for the benefit of, or to be relied upon by, any Traveler. Tripolo may rely on information and documents a Member submits without independent investigation, and is under no obligation to investigate, re-check, or monitor any Member on a continuing basis. Any such verification is limited in scope, is not a guarantee of any Member’s identity, qualifications, character, competence, or suitability, and does not constitute an endorsement or recommendation.
References on the Tripolo Platform to a Member being “verified,” “identity checked,” or similar indicate only that a specific limited check was completed and carry no broader meaning. No check is guaranteed to be carried out in any particular manner, at any particular time, or at all in respect of any particular Member. A check confirms only what the source consulted showed at the time of the check. It cannot detect a document that has been forged or fraudulently obtained, and it does not extend to any change in status occurring after the check. No Traveler is entitled to rely on the performance or outcome of any check in deciding whether to book or participate in a Guide Service. You are responsible for your own decisions about whom to interact with and which Guide Services to book.
24. Limitation of Liability
(a) Who this Section protects. “Tripolo Parties” has the meaning given in Section 1.5. Each Tripolo Party is an intended third-party beneficiary of, and may enforce, Sections 5.3, 5A, 5B, 23, 23A, 24, 24A, 25 and 26.
(b) Excluded damages. To the maximum extent permitted by law, and regardless of the theory on which a claim is based — whether contract, tort (including negligence), strict liability, statute or otherwise — the Tripolo Parties are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if a Tripolo Party has been advised of the possibility of such damages.
(c) Cap on liability. The liability of the Tripolo Parties, taken together, for any single claim or arising out of any single event is limited to the greater of (i) the Total Price of the Reservation to which the claim relates, or (ii) US$100. For all claims arising in any one calendar year, the aggregate liability of the Tripolo Parties, taken together, will not exceed the amounts you paid to or through the Contracting Entities in the twelve (12) months preceding the event giving rise to the first such claim.
(d) Amounts owed to you are not capped. This Section does not limit Tripolo’s obligation to return amounts charged in error or without authorisation, or to pay refunds or issue Tripolo Credit due under the Cancellation Policy, the Order Issue Rules, or any other Tripolo Policy. Those amounts are recoverable in full; the limits above apply only to claims for damages beyond them.
(e) Time limit for bringing a claim. To the extent permitted by law, any claim arising out of or relating to these Terms or the Tripolo Platform must be brought within one (1) year after the claim arose, and a claim brought after that period is permanently barred. This paragraph applies equally to claims brought by a Tripolo Party and to claims brought by you. It does not apply to a claim for death or personal injury, and it does not apply where a different period is required by law and cannot be varied by agreement.
(f) Limits apply independently of remedies. The exclusions and limits in this Section apply even if a remedy provided in these Terms is found to fail of its essential purpose.
(g) Liabilities that cannot be excluded. The exclusions and limits in this Section apply to all claims, including claims for personal injury, bodily injury, emotional distress or death, to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability for: (i) fraud or fraudulent misrepresentation; (ii) gross negligence or willful misconduct; or (iii) any liability that cannot lawfully be excluded or limited, which in many jurisdictions includes liability for death or personal injury caused by negligence. If any exclusion or limitation in this Section is held unenforceable as to a particular claim, it will be severed as to that claim only and the remainder will continue in effect. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; where those laws apply, Sections 23 and 24 apply only to the extent permitted, and nothing in these Terms affects your mandatory statutory rights as a consumer.
24A. Release
The Tripolo Platform facilitates connections between Travelers and Guides, who contract directly with one another. Tripolo, Inc. is not a party to those contracts, and no Tripolo Party controls the conduct of any Member.
To the maximum extent permitted by applicable law, you release the Tripolo Parties from any and all claims, demands, damages, losses, and liabilities of every kind, known or unknown, arising out of or in any way connected with: (a) any dispute between you and another Member; (b) the acts or omissions of any Guide, Traveler, or other Member; (c) the condition, safety, quality, or suitability of any Guide Service; or (d) any injury, death, property damage, or loss occurring during or in connection with a Guide Service. This release expressly includes any such claim arising from a Tripolo Party’s own negligence, to the maximum extent permitted by applicable law.
Checks under Section 1.2(a). This Section releases any claim arising from the performance, non-performance, scope or outcome of a check described in Section 1.2(a), except a claim that Tripolo knowingly misrepresented whether, or to what extent, such a check was carried out. Any liability not released by this Section remains subject to Section 24.
If you are a resident of California, you expressly waive California Civil Code §1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar provision of the law of any other jurisdiction.
This Section does not release a Tripolo Party from liability for its own gross negligence, willful misconduct, or fraud, or from any liability that may not be released under applicable law.
25. Indemnification
You agree to defend, indemnify, and hold harmless the Tripolo Parties from claims, damages, losses, and expenses arising from:
- your breach of these Terms,
- your use of the Tripolo Platform,
- your provision or participation in Guide Services, or
- your violation of law or third-party rights.
Tripolo may elect to control the defence of any such claim at your expense, or to require you to defend it; where you defend, you may not settle it, or make any admission affecting any Tripolo Party, without Tripolo’s prior written consent. Recoverable expenses include reasonable attorneys’ fees, expert and investigation costs, and arbitration or court fees. This Section survives termination of these Terms.
26. United States Governing Law and Arbitration Agreement
26.1 Governing Law (United States)
If you reside in, are established in, or access the Tripolo Platform from the United States, these Terms shall be governed by the laws of the State of Washington, United States of America, without regard to its conflict-of-law principles.
26.2 Agreement to Arbitrate
Except as expressly excluded below, you and Tripolo agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Tripolo Platform, any Service Page, any Guide Service, or any payment, refund, advertising, marketing or communication, whether the claim arose before, on, or after the date you accepted these Terms, and whether based on contract, tort, statute, fraud, misrepresentation or any other legal theory (each, a “Dispute”) shall be resolved exclusively through final and binding arbitration on an individual basis, rather than in court.
This Section 26 applies to a Dispute against any Tripolo Party to the same extent as a Dispute against Tripolo, and each Tripolo Party may enforce it. References in this Section to “Tripolo” include each Tripolo Party where the context so requires.
26.3 Mandatory Informal Resolution
Before initiating arbitration, you and Tripolo agree to attempt to resolve any Dispute informally.
At least thirty (30) days before commencing arbitration, the party asserting the Dispute must send a written notice describing the issue and the relief sought (“Notice of Dispute”).
- Notices to Tripolo must be sent to: support@tripolo.com
- Notices from Tripolo will be sent to the email address associated with your account
A Notice of Dispute must be individually signed by the person asserting the Dispute and must include: their full name; the email address and any phone number associated with their Tripolo account; the specific Reservation or transaction at issue; a description of the nature and basis of the claim; and the specific relief sought and how it was calculated. Notices submitted on behalf of multiple individuals, or that do not contain this information, do not satisfy this Section and do not start the 30-day period.
If the Dispute is not resolved within the 30-day period, either party may proceed to arbitration.
Completion of this Section is a condition precedent to commencing arbitration, and either party may seek an order from a court or the arbitrator requiring compliance before a demand proceeds.
Tolling. Any limitation period applicable to the Dispute, including the period in Section 24(e), is suspended from the date a compliant Notice of Dispute is sent until the end of the 30-day period, so that compliance with this Section does not shorten the time available to bring a claim.
26.4 Arbitration Rules and Forum
Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules where you are acting for personal, family, or household purposes, and under its Commercial Arbitration Rules where you are acting in a business or commercial capacity, in each case as modified by this Agreement.
The arbitration shall:
- be conducted in English,
- be decided by a single neutral arbitrator, and
- take place remotely unless an in-person hearing is required.
This Arbitration Agreement is governed by the Federal Arbitration Act (FAA).
If the AAA is unavailable or declines to administer the arbitration in accordance with this Section, the parties will arbitrate before JAMS under its applicable consumer or comprehensive rules; if neither is available, either party may apply to a court under 9 U.S.C. § 5 to appoint an administrator or arbitrator. The unavailability of a particular administrator does not invalidate this Section 26.
26.5 Delegation of Authority
You and Tripolo agree that the arbitrator has exclusive authority to resolve any dispute regarding:
- the interpretation, applicability, enforceability, or formation of this arbitration agreement, and
- whether a Dispute is subject to arbitration
Exception. Notwithstanding the foregoing, only a court, and not an arbitrator, has authority to decide the validity, enforceability, scope or effect of Section 26.7 and of the second paragraph of Section 26.13.
26.6 Exceptions to Arbitration
The following Disputes are not subject to arbitration:
- A claim by either party alleging actual or threatened infringement or misuse of that party’s intellectual property rights;
- An application by either party for temporary or preliminary injunctive relief in aid of arbitration, pending appointment of the arbitrator (an application of this kind is not a waiver of the right to arbitrate, and the merits remain in arbitration);
- A claim that either party brings, and that remains, in small claims court on an individual basis; and
- An individual claim alleging sexual assault or sexual harassment, where the person asserting the claim elects that it not be arbitrated, as provided by 9 U.S.C. §§ 401–402. That person may instead elect arbitration under this Section.
A claim described above may be brought in the courts identified in Section 26.16. All other Disputes remain subject to arbitration, and the existence of a claim described above does not remove any other Dispute from arbitration. Any claim for public injunctive relief, where permitted by law, shall be stayed pending arbitration of all arbitrable claims.
26.7 No Class or Representative Actions
To the fullest extent permitted by law, arbitration must proceed on an individual basis only.
You and Tripolo waive any right to:
- participate in a class action,
- pursue class-wide arbitration,
- act as a private attorney general, or
- bring any representative proceeding, or
- have any Dispute consolidated or joined with the dispute of any other person.
The arbitrator may award relief only in favour of the individual party seeking relief and only to the extent necessary to provide relief on that party’s own individual claim, and may not award relief for or against any person who is not a party to the arbitration. Consolidation or joinder is permitted only where both parties agree in writing; batching under Section 26.8 is not consolidation.
26.8 Mass Arbitration Waiver and Procedures
If fifty (50) or more arbitration demands raising substantially similar claims are filed within a ninety (90) day period by or with the assistance of the same or coordinated counsel (a “Mass Arbitration”), the demands will be resolved in batches of no more than fifty (50) in accordance with the AAA Mass Arbitration Supplementary Rules.
Counsel for the claimants and counsel for Tripolo will each select twenty-five (25) demands for the first batch, to be resolved before a single arbitrator on an individual basis. Remaining demands will be stayed pending resolution of that batch. Any applicable statute of limitations will be tolled for stayed demands from the date each demand is filed.
After each batch is resolved, the parties will participate in a single mediation session before proceeding to the next batch. A court of competent jurisdiction has authority to enforce this Section, including by enjoining the filing or prosecution of demands outside the batching process.
Nothing in this Section prevents the parties from participating in a voluntary, global settlement of claims.
26.9 Arbitration Fees and Costs
Arbitration fees and arbitrator compensation shall be governed by the AAA’s rules.
If you qualify for a fee waiver under applicable AAA rules, Tripolo will pay your share of arbitrator fees to the extent required by law.
Each party otherwise bears its own legal fees unless the arbitrator awards fees under applicable law.
If the arbitrator determines that a claim or a defence was frivolous or brought for an improper purpose, measured by the standard of Federal Rule of Civil Procedure 11(b), the arbitrator may reallocate fees and costs to the extent permitted by the AAA rules and applicable law. This paragraph applies equally to both parties.
26.10 Arbitration Decision and Relief
The arbitrator may award any relief permitted by law on an individual basis only.
The arbitrator shall issue a written decision stating the essential findings and conclusions. Judgment on the award may be entered in any court of competent jurisdiction.
26.11 Jury Trial Waiver
To the fullest extent permitted by law, you and Tripolo waive the right to a trial by jury for all Disputes. This waiver is independent of the agreement to arbitrate and survives any determination that all or part of this Section 26 is unenforceable, and applies to any Dispute heard in court.
26.12 Survival
This Section 26 survives termination of these Terms and your Tripolo account.
26.13 Severability of Arbitration Agreement
If any provision of this Section 26 is found to be invalid, illegal, or unenforceable with respect to a particular claim or remedy, that provision shall be severed solely as to that claim or remedy, and the remaining provisions of this Section 26 shall remain in full force and effect.
Section 26.7 (No Class or Representative Actions) is not severable. If Section 26.7 is found to be invalid, illegal, or unenforceable as to any claim or request for relief, then that claim or request for relief — and only that claim or request for relief — is severed from arbitration and must be brought in the courts identified in Section 26.16, and all other claims remain subject to arbitration. In no event will class, collective, consolidated, or representative proceedings be conducted in arbitration, and no arbitrator has authority to permit them.
26.14 Your Right to Opt Out of Arbitration
You may opt out of this Section 26 by sending written notice to support@tripolo.com within thirty (30) days of the date you first accept these Terms, or within thirty (30) days of the effective date of any material change to this Section 26. The notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration.
Opting out affects only this Section 26 and does not affect any other part of these Terms or your ability to use the Tripolo Platform. If you opt out, Disputes will be resolved in the state or federal courts located in King County, Washington, and you and Tripolo consent to the personal jurisdiction of those courts.
26.15 Disputes Involving Multiple Members
Where a Dispute involves both a Traveler and a Guide:
(a) Any claim by a Member against the Tripolo entity with which that Member contracts is resolved under the dispute resolution provisions of the terms applicable to that Member.
(b) Neither Contracting Entity is a party to any dispute between a Traveler and a Guide arising from a Reservation. Travelers and Guides agree to resolve such disputes directly, and may use Tripolo’s dispute assistance process where available.
(c) Where a Member asserts a claim against a Tripolo entity with which that Member does not contract, that claim is resolved under the dispute resolution provisions applicable to the claiming Member.
(d) Nothing in this Section requires any Tripolo entity to participate in a consolidated proceeding, or waives any objection to jurisdiction.
26.16 Venue for Claims Not Subject to Arbitration
Any claim described in Section 26.6, and any claim brought after a valid opt-out under Section 26.14, must be brought exclusively in the state or federal courts located in King County, Washington. You and Tripolo consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens. This does not limit any right you may have to bring a claim in small claims court in your county of residence.
27. China Governing Law and Dispute Resolution
27.1 Applicability
This Section 27 applies only to a user whose place of habitual residence is in a region in which the laws of the People’s Republic of China are applied.
Travelling to, staying in, or accessing the Tripolo Platform from such a region does not bring you within this Section 27, and a Traveler who resides in the United States remains subject to Section 26 for the duration of a Guide Service and at all other times.
If this Section 27 applies to you, Section 26 (United States Governing Law and Arbitration Agreement) does not apply. If there is any doubt as to which Section applies, Section 26 applies unless mandatory law provides otherwise.
27.2 Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Tripolo Platform, any Service Page, or any Guide Service, shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to conflict-of-law principles.
27.3 Dispute Resolution Through Arbitration
Except where mandatory law requires resolution through litigation, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Tripolo Platform shall be resolved through arbitration.
Unless otherwise required by applicable law, arbitration shall be submitted to the Shenzhen Court of International Arbitration (深圳国际仲裁院, “SCIA”) and conducted in accordance with the SCIA arbitration rules in effect at the time the arbitration application is submitted. The seat of arbitration shall be Shenzhen.
The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding on both parties.
Individual basis. Arbitration under this Section proceeds on an individual basis only. Claims of two or more users are not consolidated or heard together except with the written agreement of all parties and the arbitral institution.
Small-value claims. Where the amount in dispute does not exceed US$1,000 or its RMB equivalent, you may instead bring the claim in the people’s court having jurisdiction, at your election. This election is yours alone and does not affect any other claim.
27.4 Litigation Where Arbitration Is Not Permitted
Where arbitration is not permitted, applicable, or enforceable under mandatory provisions of PRC law, disputes shall be submitted to the people’s court with competent jurisdiction as determined in accordance with applicable law.
27.5 Consumer Protection and Mandatory Rights
Nothing in these Terms limits or excludes liability or rights where such limitation or exclusion is prohibited by applicable law, including mandatory consumer protection provisions of the People’s Republic of China.
Where mandatory legal provisions grant users rights that are more favorable than those set forth in these Terms, such mandatory provisions shall prevail.
27.6 Contracting Entity
For the avoidance of doubt, Travelers contract with Tripolo, Inc. in all cases, including where this Section 27 applies. 趣菠萝科技(深圳)有限公司 contracts only with Guides, under the Tripolo Guide Terms, and is not a party to these Terms.
Notices under this Section 27 should be sent to support@tripolo.com. Where a matter concerns a Guide, Tripolo, Inc. will coordinate with 趣菠萝科技(深圳)有限公司 (support_cn@tripolo.cn).
27.7 Survival
This Section 27 shall survive termination of these Terms and your Tripolo account.
28. Rest of World Governing Law and Dispute Resolution
28.1 Territorial Scope
The Tripolo Platform is offered to users whose place of habitual residence is in the United States or in a region in which the laws of the People’s Republic of China are applied. Tripolo does not market, target, advertise, or offer the Tripolo Platform to users in any other jurisdiction. Tripolo does not maintain local-language versions, local currency pricing, local domain names, or local customer service for any other jurisdiction.
28.2 Access on Your Own Initiative
If you access the Tripolo Platform from outside those jurisdictions, you do so on your own initiative and are responsible for compliance with applicable local law. Tripolo makes no representation that the Tripolo Platform, any Service Page, or any Guide Service is available or appropriate for use in your location.
28.3 Governing Law and Dispute Resolution
Where you access the Tripolo Platform from outside the jurisdictions identified in Section 28.1, these Terms are governed by the laws of the State of Washington, United States of America, without regard to conflict-of-law principles, and Section 26, including the arbitration agreement, applies to you. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
28.4 Mandatory Local Rights
Nothing in this Section limits or excludes any mandatory consumer protection right that applies to you under the law of your country of residence and that cannot be excluded by agreement. Where such a mandatory provision grants you rights more favourable than these Terms, that provision prevails to the extent of the inconsistency.
28.5 Survival
This Section 28 survives termination of these Terms and closure of your Tripolo account.
29. Miscellaneous
These Terms constitute the entire agreement between you and Tripolo. If any provision is unenforceable, the remaining provisions remain in effect.
29.1 Modification of These Terms
Tripolo may modify these Terms and the Tripolo Policies at any time. How a modification takes effect depends on whether it is material.
(a) Material modifications. A modification is material if it changes what you pay, the liability or dispute-resolution provisions, how personal information is handled, or if it otherwise reduces your rights or increases your obligations. For a material modification Tripolo gives at least thirty (30) days’ advance notice, by posting the revised text on the Tripolo Platform with an updated “Last Updated” date and by sending notice by email to the address associated with your account. Email is Tripolo’s primary channel for notices under this Section; Tripolo may in addition notify you through the Tripolo Platform or by push notification. A material modification that has not been notified in accordance with this paragraph does not take effect against you.
(b) Other modifications. Any other modification — including correcting an error, clarifying existing wording, adding examples or explanation, changing formatting or internal numbering, adding a service, or a change that is wholly in your favour — takes effect when it is posted with an updated “Last Updated” date. No separate notice is given.
(c) Changes required by law. Where a change is required by applicable law or by a regulator or payment network, it takes effect on the date required, and Tripolo notifies you as soon as reasonably practicable.
Modifications take effect on the date stated in the notice or, under (b), on posting. Your continued access to or use of the Tripolo Platform on or after that date constitutes your acceptance of the modified Terms. If you do not agree, you must stop using the Tripolo Platform and may close your account before the effective date.
Reservations confirmed before the effective date remain governed by the Terms and the Tripolo Policies in effect at the time of confirmation.
Changes to Section 26 (United States Governing Law and Arbitration Agreement) will not apply retroactively to any Dispute of which Tripolo had notice before the effective date of the change.
Tripolo will retain prior versions of these Terms and make them available on request.
29.2 Electronic Communications and Notices
You consent to receive communications from Tripolo electronically, including by email, in-Platform message, and push notification, and agree that electronic communications satisfy any legal requirement that a communication be in writing. This consent applies to agreements, notices, disclosures, receipts, and other records.
Text messages. By providing a mobile number, you consent to receive service-related text messages from Tripolo, including booking confirmations, reminders, and security alerts. Message and data rates may apply. You may opt out of non-essential messages by replying STOP; you may continue to receive transactional messages necessary to your Reservations.
Notices to you are effective when sent to the email address or phone number associated with your account, or when posted on the Tripolo Platform, whether or not you in fact open or read them. You are responsible for keeping your contact details current and for ensuring that email from Tripolo is not blocked or filtered. If an email is returned undeliverable, Tripolo may give the notice through the Tripolo Platform instead, and that notice is effective when sent. Notices to Tripolo must be sent to the address in Schedule 1, except where these Terms specify a different address for a particular purpose.
Because the Tripolo Platform operates electronically, Tripolo cannot provide services to users who withdraw this consent; you may withdraw it by closing your account.
29.3 General
Survival. Sections 1.5, 5A, 5B, 16.2, 16.5, 16.6, 18, 20, 20A, 20B, 21, 22, 23, 23A, 24, 24A, 25, 26, 27, 28, and 29 survive termination of these Terms and closure of your account.
No waiver. Tripolo’s failure to enforce any provision is not a waiver of its right to do so later. No waiver is effective unless in writing.
No third-party beneficiaries. Except as expressly stated in these Terms, these Terms create no rights in any third party.
Interpretation. Headings are for convenience only. “Including” means “including without limitation.” These Terms will not be construed against the drafting party.
Language. These Terms are made in the English language. Tripolo may, but is not obliged to, make a translation available for convenience. In the event of any inconsistency between the English text and a translation, the English text prevails, except where applicable law requires otherwise.
Assignment. Tripolo may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without Tripolo’s prior written consent, and any attempted assignment is void.
Relationship. Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between you and Tripolo.
29.4 Mobile Application Stores
Apple App Store. If you access the Tripolo Platform through an application obtained from the Apple App Store, the following applies: these Terms are between you and Tripolo only, not Apple, and Apple is not responsible for the application or its content. Your license to use the application is a non-transferable license to use it on any Apple-branded device you own or control, as permitted by the App Store Terms of Service. Apple has no obligation to provide maintenance or support. If the application fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim relating to the application, including product liability, legal or regulatory non-compliance, or consumer protection claims, and is not responsible for third-party claims that the application infringes intellectual property rights. You represent that you are not located in a country subject to a U.S. Government embargo or designated as terrorist-supporting, and are not on any U.S. Government prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Google Play. If you obtained the application from Google Play, you acknowledge that these Terms are between you and Tripolo only, not Google, and that Google is not responsible for the application or its content.

Apart from that limited authorisation and the payment arrangements described in Section 18, each Contracting Entity is independently responsible for its own contractual obligations to its own Members and is not responsible for the acts or omissions of the other.
